Terms and conditions
Purpose
These terms govern the use of the platform in its v0.1 version. The platform presents information about tokenized real-world Patagonian assets and lets you register a manifestation of interest. In this version no payments are processed, no funds are transferred, and no value-bearing token is issued.
Nature of the information
Nothing on this site is a public offering, an invitation to invest, or an investment recommendation. The instruments described are risk instruments: returns are a target, not a promise, and invested capital may be lost.
Disbursement schedule
The platform publishes each project's disbursement schedule: the tranches in which financing is released and the conditions under which each one is due, with the evidence backing them (work certificates, supplier-confirmed expenses, approved documents, on-chain attestations).
The platform holds no funds, transfers none, and executes no payment. Verifying that a condition was met is not releasing the tranche: whoever administers the funds decides, outside this platform and under whichever instrument applies. The evidence package the platform issues records what was verified and when, and is not a payment order.
A tranche cannot jump ahead of another: if the previous one is not verified, the next stays blocked even when its own conditions are met.
Nature of the right: personal, not in rem
What is acquired is a contractual right against the vehicle that issues the series, not a right in rem over the property. Under the planned structure the property is held by the trust: a participant is not entered in the property registry, is not a co-owner, and cannot claim a physical portion of the asset. Tokenization is indirect, because the token represents the participation in the vehicle and not the property. The final structure of each series is not closed yet, and it may change the details but not this nature.
It follows that a participant's rights and limitations are those set by the trust instrument, including the conditions for transferring the position. This wording is a draft and depends on legal review and on the final structure.
Manifestation of interest
Registering a manifestation of interest is a non-binding act. It moves no money, is not a subscription, and can be withdrawn while the series is in private placement.
Eligibility
Access to the economic terms of a series requires an invitation, an approved identity process (KYC), and an allowed jurisdiction. US persons cannot access the opportunity in this version. Neither can minors: the platform asks for a self-declaration of legal age, and without it access stays closed.
That declaration is not verified. In version 0.1 the platform neither asks for nor stores a date of birth, and no step compares age against an identity document: what is recorded is the person's answer. Verifying age against the document is pending until an identity provider that performs it is connected.
Changes
This document is a draft and may change until legal approval. The Spanish version prevails over any translation.
